1. Interpretation and Definitions

For the purposes of these Terms of Service:

  • "Service" refers to the CopyMate platform, website, and copy trading services.
  • "Account" means a unique account created for You to access our Service or parts of our Service.
  • "Affiliate" means an entity that controls, is controlled by or is under common control with a party.
  • "Country" refers to the jurisdiction where CopyMate operates.
  • "Device" means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • "Terms" refer to these Terms of Service that form the entire agreement between You and the Company.
  • "You" refers to the individual accessing or using the Service.

2. Acknowledgment

These are the Terms of Service governing the use of this Service and the agreement that operates between You and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of these terms then You may not access the Service.

You must be at least 18 years old to use this Service. By using the Service, You represent that You are at least 18 years of age.

3. Subscriptions

Subscription Period

The Service or some parts of the Service are available on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

Subscription Cancellations

You may cancel Your Subscription renewal either through Your online account management page or by contacting Our customer support team. You will not receive a refund for the fees You already paid for Your current Subscription period and You will be able to access the Service until the end of Your current Subscription period.

Billing

You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. Should automatic billing fail to occur for any reason, the Company will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Fee Changes

The Company, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. The Company will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Refunds

Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.

4. User Accounts

When You create an account with Us, You must provide information that is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of Your account on the Service.

You are responsible for safeguarding the password that You use to access the Service and for all activities that occur under Your password, whether Your password is with Our Service or a third-party service.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

Account Security Best Practices:

  • • Use a strong, unique password for your CopyMate account
  • • Enable two-factor authentication when available
  • • Regularly monitor your account for unauthorized activity
  • • Log out from shared or public devices

5. Affiliate Marketing

The Service may engage in affiliate marketing, which is done by embedding tracking links into the Service. If You click on a link for an affiliate partnership, a cookie will be placed on Your browser to track any sales for purposes of commissions.

CopyMate is a participant in various affiliate programs designed to provide a means for sites to earn advertising fees by advertising and linking to third-party websites. The commissions earned through affiliate marketing help support the Service.

6. BETA Access

The Company may, in its sole discretion, provide access to beta, pilot, limited release, or other pre-release products or services ("Beta Services") for the purpose of providing feedback to the Company.

Beta Service Conditions:

  • • Beta Services are provided "as is" and may contain bugs or errors
  • • Beta Services may be discontinued at any time without notice
  • • Your feedback may be used by the Company to improve the Service
  • • Beta Services should not be used for critical trading operations

7. Content Rights and Restrictions

Your Right to Post Content

Our Service allows You to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.

Content Restrictions

You may not use our Service to:

  • • Post Content that is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable
  • • Post Content that infringes any patent, trademark, copyright or other intellectual property rights
  • • Post unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation
  • • Post Content that contains software viruses or any other computer code designed to interrupt, destroy or limit functionality
  • • Post false or misleading trading information or investment advice

Content Ownership

The Service and its original content, features and functionality are and will remain the exclusive property of CopyMate and its licensors. The Service is protected by copyright, trademark, and other laws.

9. Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of CopyMate and its licensors.

The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without Our prior written consent.

Protected Elements Include:

  • • CopyMate name and logo
  • • User interface design and layout
  • • Proprietary algorithms and trading logic
  • • Documentation and educational materials

10. Engaging Third Parties

We may employ third party companies and individuals to facilitate Our Service ("Service Providers"), to provide the Service on Our behalf, to perform Service-related services or to assist Us in analyzing how Our Service is used.

These third parties have access to Your Personal Data only to perform these tasks on Our behalf and are obligated not to disclose or use it for any other purpose.

11. Feedback

By providing Feedback, You represent and warrant that: (a) You have the right to disclose the Feedback; (b) the Feedback does not violate the rights of any other person or entity; and (c) Your Feedback does not contain the confidential or proprietary information of any third party or parties.

13. Termination

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms.

Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.

Survival

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

14. Limitation of Liability

IMPORTANT LIABILITY LIMITATION

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

15. Disclaimers

SERVICE PROVIDED "AS IS"

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, this Company excludes all representations, warranties, conditions and terms except those expressly set out in the Terms.

Investment Risk Disclaimer

Trading and investing in financial markets involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results. CopyMate does not provide investment advice, and any information provided should not be considered as such.

No Warranty

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise.

16. Trade Copier Specific Terms

Trade Copying Risk Notice

Copy trading involves automatically replicating trades from other traders. This carries significant risk and you may lose all your invested capital.

How Trade Copying Works

Our trade copying service allows you to automatically replicate trades from selected traders ("Signal Providers") to your connected trading accounts ("Follower Accounts"). When a Signal Provider executes a trade, the system automatically places a corresponding trade in your Follower Account.

Your Responsibilities

  • • Ensure adequate account balance and margin requirements
  • • Monitor your account regularly for copied trades
  • • Understand the trading strategy of Signal Providers you follow
  • • Set appropriate risk management parameters
  • • Maintain compliance with your broker's terms and conditions

Service Limitations

Copy trading may be subject to delays, execution differences, slippage, and other factors that may affect the accuracy of trade replication. CopyMate does not guarantee identical trade execution between Signal Provider and Follower accounts.

17. HFT Trading Guidelines

High-Frequency Trading (HFT) strategies may be available through our platform. These strategies involve rapid trade execution and carry unique risks and requirements.

HFT Risk Factors

  • • Technology failures may result in significant losses
  • • Market volatility can amplify both gains and losses
  • • Execution speed differences may affect strategy performance
  • • Regulatory changes may impact HFT strategy viability

HFT strategies require sophisticated risk management and are recommended only for experienced traders with adequate capital and risk tolerance.

18. Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

19. Dispute Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

Arbitration

Any legal dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

20. Compliance Provisions

You agree to comply with all applicable laws, regulations, and rules in connection with your use of the Service, including but not limited to securities laws, anti-money laundering laws, and tax regulations.

21. Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

22. Translation Interpretation

These Terms of Service may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a conflict.

23. Changes to These Terms of Service

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
